Terms of Service

1. Acceptance of Terms
By accessing or using ClaimRight's services ("Services"), provided by Vantar Group LLC ("ClaimRight," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms constitute a binding legal agreement between you and ClaimRight.
2. Description of Services
ClaimRight provides AI-powered revenue cycle management services, including automated payer outreach, claim status verification, denial management, and related healthcare administrative automation. Our Services are designed to assist healthcare providers in managing their revenue cycle operations more efficiently. ClaimRight acts as your Business Associate under HIPAA and processes Protected Health Information (PHI) solely to provide Services as outlined in our Business Associate Agreement (BAA).
3. User Responsibilities
You agree to: (a) provide accurate, complete, and current information when using our Services; (b) maintain the security of your account credentials; (c) comply with all applicable federal, state, and local laws, including HIPAA and other healthcare privacy regulations; (d) use the Services only for lawful purposes related to healthcare revenue cycle management; (e) not attempt to reverse engineer, decompile, or access our proprietary algorithms; (f) not use the Services in any manner that could damage, disable, or impair our systems; and (g) immediately notify us of any unauthorized access to your account.
4. Data Privacy and Security
We take data security seriously. All PHI is encrypted in transit using TLS 1.3 and at rest using AES-256 encryption. We maintain comprehensive audit logs for seven (7) years and sign Business Associate Agreements with all healthcare customers. Our infrastructure is HIPAA-compliant, hosted in secure data centers with 24/7 monitoring. We do not sell, rent, or share your data with third parties except as necessary to provide Services or as required by law. For complete details on our data practices, see our Privacy Policy.
5. Payment Terms
Subscription fees are billed monthly or annually based on your selected plan. All fees are non-refundable except as required by law. You authorize us to charge your provided payment method for all fees. If payment fails, we may suspend Services until payment is received. Pricing is subject to change with thirty (30) days' written notice. Enterprise customers may negotiate custom pricing terms.
6. Intellectual Property
ClaimRight and its licensors own all rights, title, and interest in the Services, including all software, algorithms, trademarks, and proprietary technology. You receive a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes. You retain ownership of your data, and we claim no ownership rights over information you submit through the Services.
7. Service Availability and Support
We strive to maintain 99.5% uptime for our Services (99.9% for Enterprise customers with SLA). Scheduled maintenance windows will be communicated at least 48 hours in advance when possible. Technical support is available via email during business hours for Starter and Professional plans, with phone support available for Business and Enterprise customers. We do not guarantee uninterrupted access and are not liable for service disruptions caused by factors outside our reasonable control.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAIMRIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO CLAIMRIGHT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR INCIDENTAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.
9. Termination
Either party may terminate these Terms with thirty (30) days' written notice. We may immediately suspend or terminate your access if you violate these Terms or fail to pay fees. Upon termination, your access to Services will cease, but you may export your data within thirty (30) days. We will securely delete your data ninety (90) days after termination unless retention is required by law. All provisions that by their nature should survive termination will survive, including intellectual property rights and limitation of liability.
10. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Services at least thirty (30) days before the effective date. Your continued use of Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your account as described in Section 9.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding this, either party may seek injunctive relief in court to protect intellectual property rights.
